Terms of Service
These Terms of Service ("Terms") are a binding agreement between you and Mind Matter LLC, an Arizona limited liability company ("Mind Matter," "we," "us"). By creating an account or using the Mind Matter app or website (the "Service"), you agree to these Terms, our Privacy Policy, and our Health & Safety Disclaimer, which are incorporated by reference. If you do not agree, do not use the Service.
1. Eligibility
You must be at least 16 years old to use the Service. By creating an account you represent that you are 16 or over. We do not ask for or store your date of birth — we rely on that representation, and you may optionally tell us a broad age range later so the app can tailor what it shows you. If you are under 18, you should use the Service with the involvement of a parent or legal guardian, and we encourage you to read these Terms with them.
2. The Service; not medical care
Mind Matter provides tools for self-reflection, mood and habit tracking, educational programs, standardized screening questionnaires, and AI-assisted journaling and conversation. As stated in the Health & Safety Disclaimer — which you should read in full — the Service is not a medical device or medical service, provides no diagnosis or treatment, and is not a substitute for professional care. You are solely responsible for your health decisions and for seeking professional care when appropriate.
3. Your account
You are responsible for maintaining the security of your login credentials and for all activity under your account. Notify us promptly at mindmatter411@gmail.com if you believe your account has been compromised. You agree to provide accurate information and to keep it current.
4. Acceptable use
You agree not to: (a) use the Service for anyone's benefit but your own personal, non-commercial use; (b) probe, disrupt, overload, or attempt to gain unauthorized access to the Service or other users' data; (c) reverse engineer, scrape, or copy the Service or its content except as permitted by law; (d) use the Service to develop a competing product; (e) upload malicious code; or (f) use the Service in violation of any applicable law.
5. Subscriptions, billing, and refunds
Some features require a paid subscription, purchased through Apple's in-app purchase system and billed to your Apple ID. Prices are shown before you pay, in your own currency. Subscriptions renew automatically until canceled. You cancel through your Apple ID subscription settings (Settings → your name → Subscriptions on iPhone) — we cannot cancel or refund on your behalf, because Apple, not Mind Matter, holds the billing relationship. Cancellation stops future charges, and access continues through the end of the current billing period. Refunds are handled by Apple under their policies, and are otherwise not offered except where required by law. Trial or promotional access ends as described when it was offered, and we may modify or discontinue promotions at any time.
6. Your content
Everything you create in Mind Matter — journal entries, logs, conversations, plans — remains yours. You grant Mind Matter LLC a limited, non-exclusive, royalty-free license to host, store, process, transmit, and display your content solely as needed to operate and provide the features of the Service (for example, transmitting text to our AI provider to generate the response you requested). This license ends when you delete the content or your account, except for content already processed transiently to serve your requests and residual copies in routine encrypted backups, which are purged on their own schedule.
7. Our intellectual property
The Service — including its software, design, text, graphics, programs, and the Mind Matter name and logo — is owned by Mind Matter LLC or its licensors and is protected by intellectual-property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to use the app for your personal use in accordance with these Terms. No other rights are granted.
8. Third-party services
The Service relies on third-party providers (such as Supabase, Vercel, Apple, Anthropic, and ElevenLabs). We are not responsible for third-party services, and your use of them may be subject to their own terms. References or links to third-party resources (including crisis lines) are provided for convenience and do not constitute endorsement or guarantee.
9. Termination
You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you materially violate these Terms, if required by law, or if we discontinue the Service — in which case, where practicable, we will give you a reasonable opportunity to export your data. Sections of these Terms that by their nature should survive termination (including Sections 6–15) survive.
10. Disclaimer of warranties
The Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory — including any implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. Without limiting the foregoing, Mind Matter LLC does not warrant that the Service will be uninterrupted, error-free, or secure, or that AI-generated content will be accurate, complete, or appropriate for your circumstances.
11. Limitation of liability
To the fullest extent permitted by law: (a) Mind Matter LLC, its members, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, goodwill, or other intangible losses, arising out of or relating to the Service; and (b) the total aggregate liability of Mind Matter LLC for all claims relating to the Service will not exceed the greater of one hundred US dollars ($100) or the amounts you paid to Mind Matter LLC for the Service in the twelve (12) months before the event giving rise to the claim.
Some jurisdictions do not allow certain limitations, so parts of the above may not apply to you. Nothing in these Terms limits liability that cannot lawfully be limited.
12. Indemnification
You agree to indemnify and hold harmless Mind Matter LLC and its members, officers, employees, and agents from claims, damages, and expenses (including reasonable attorneys' fees) arising from your violation of these Terms or your misuse of the Service, except to the extent caused by our own breach of these Terms.
13. Dispute resolution; arbitration; class-action waiver
Please read this section carefully — it affects your legal rights.
(a) Talk to us first. Before filing any claim, you agree to contact us at mindmatter411@gmail.com with a description of the dispute and give us 30 days to work it out informally. Most issues get resolved this way.
(b) Binding arbitration. Any dispute that cannot be resolved informally will be resolved by final, binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, held in Maricopa County, Arizona, or at your election conducted remotely, rather than in court. The Federal Arbitration Act governs this section.
(c) Exceptions. Either party may bring an individual claim in small-claims court, and either party may seek injunctive relief in court for infringement or misuse of intellectual property.
(d) Class-action waiver. All disputes must be brought in the parties' individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding.
(e) Opt-out. You may opt out of this arbitration agreement by emailing mindmatter411@gmail.com within 30 days of first accepting these Terms, with the subject "Arbitration Opt-Out" and your account email. Opting out does not affect any other part of these Terms.
14. Governing law
These Terms and any dispute arising from them are governed by the laws of the State of Arizona and applicable US federal law, without regard to conflict-of-laws principles. Subject to Section 13, any judicial proceeding will be brought exclusively in the state or federal courts located in Maricopa County, Arizona, and you consent to their jurisdiction.
15. General
These Terms, together with the Privacy Policy and Health & Safety Disclaimer, are the entire agreement between you and Mind Matter LLC regarding the Service. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets. We are not liable for delays or failures caused by events beyond our reasonable control.
16. Changes to these Terms
We may update these Terms as the Service evolves. If we make material changes, we will update the date at the top of this page and provide notice in the app before the changes take effect. Continued use after the effective date constitutes acceptance.
